SAVI Terms & Conditions

Agreement

Terms & Conditions

Last updated: October 15, 2026

These Terms & Conditions (“Terms”) are a binding agreement between you and ZRSpro LLC, a Florida limited liability company (“ZRSpro,” “SAVI,” “we,” “us,” or “our”), governing your access to and use of the SAVI platform at savicrm.com and app.savicrm.com, including SAVIcrm, SAVIcam, SAVIdata, AI features, and all related software, services, and support (the “Services”). By creating an account, clicking to accept, or accessing or using the Services, you agree to these Terms and to the policies incorporated into them: the Privacy Policy, the Privacy & Security page and Data Processing Addendum, and the Acceptable Use Policy. If you do not agree, do not use the Services.

PLEASE READ CAREFULLY. THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND A WAIVER OF CLASS ACTIONS AND JURY TRIALS (SECTION 33), A LIMITATION OF OUR LIABILITY (SECTION 28), BROAD INDEMNIFICATION OBLIGATIONS (SECTION 29), AND A ONE-YEAR DEADLINE TO BRING CLAIMS (SECTION 30). THE SERVICES ARE FOR BUSINESS USE ONLY.

1. Definitions

  • “Subscriber,” “you,” or “your” means the business or person that registers for, purchases, or uses the Services, and anyone using the Services on its behalf.
  • “Authorized Users” means your employees, contractors, agents, and clients whom you allow to access the Services through your account.
  • “End Client” means your own customer, lead, prospect, or contact whose information is managed in or contacted through the Services.
  • “Customer Data” means all data, content, and materials you or your Authorized Users submit to, collect through, or store in the Services, including End Client information, messages, recordings, photos, and files.
  • “Communication Services” means SMS, MMS, voice, voicemail, email, phone numbers, AI voice agents, and other communication features.
  • “Communication Surcharges” means usage-based fees for Communication Services, including carrier, registration, and pass-through fees.
  • “Templates” means pre-built workflows, automations, funnels, campaigns, scripts, snapshots, and similar materials we make available.
  • “Professional Services” means admin support, onboarding, setup, data migration, coaching, consulting, training, and similar services performed by ZRSpro personnel.
  • “Third-Party Services” means products, services, integrations, data, and content provided by anyone other than ZRSpro.
  • “Order” means any sign-up page, checkout, proposal, invoice, or order form that you accept and that references these Terms.

2. Eligibility and business use

  • You must be at least 18 years old, able to form a binding contract, and using the Services for business purposes. The Services are not intended for personal, family, or household use.
  • If you accept these Terms on behalf of a business, you represent that you have authority to bind it, and “you” refers to that business.
  • You may not use the Services if you are a direct competitor of ZRSpro or SAVI, or to monitor the Services’ availability, performance, or functionality for competitive purposes, unless we agree in writing.
  • You may not use the Services if you have previously been suspended or terminated by us, unless we agree in writing.

3. The Services and our role

SAVI is a customer-relationship and business-management platform for home-service and property-management businesses, with tools for lead and pipeline management, scheduling, communications, AI automation, documentation, reporting, and related features. The Services are delivered using third-party platform and infrastructure technology.

We are a technology and communications provider. We are not a party to your relationships, contracts, or transactions with your End Clients; we do not initiate your communications; and we are not the “sender,” “caller,” “telemarketer,” or “seller” of any message or call you send. You are responsible for your own agreements and terms with your End Clients and for resolving any disputes with them.

We may add, change, suspend, or discontinue features at any time. Your purchase is not contingent on any future feature or on any statement about future plans.

4. Accounts and security

  • You must provide accurate, complete, and current registration and billing information and update it within ten (10) days of any change.
  • You are responsible for all activity under your account, including activity by Authorized Users and anyone using your login credentials or API keys, whether or not you authorized it.
  • You must keep credentials confidential, enable two-factor authentication where available (we may require it), grant each Authorized User only the access they need, and promptly remove access for anyone who no longer needs it.
  • You must notify us immediately at [email protected] of any unauthorized access or security concern.
  • You must bind your Authorized Users to obligations at least as protective of ZRSpro as these Terms, and you are liable for their acts and omissions.
  • We may monitor account activity to operate, secure, and support the Services and to enforce these Terms.

5. Account ownership and transfers

The account belongs to the business or person identified as the account owner in our records. If there is a dispute over who owns or controls an account (for example, between business partners, or between a business and a former employee or agency), we may determine ownership in our reasonable discretion based on the information available to us, and we may suspend the account until the dispute is resolved. You will indemnify us for any claim arising from our good-faith resolution of an ownership dispute. Account transfers require the account owner’s approval, except where we are required by law or court order to act otherwise.

6. Plans, fees, and billing

  • Plans. Access requires a paid subscription at the plan and price shown in your Order. Plans may include a base CRM subscription, AI packages, add-on services, and à la carte services, each billed as stated in your Order.
  • Auto-renewal. Subscriptions renew automatically for successive periods equal to the initial term unless cancelled before the renewal date. You authorize us and our payment processors to charge your payment method on file, in advance, for all recurring fees, usage fees, Communication Surcharges, and taxes.
  • Usage and prepaid balances. Communication Services and certain AI features are billed by usage and may be drawn from a prepaid balance that automatically recharges when it falls below a threshold. If your balance becomes negative, you authorize us to charge your payment method for the deficit. Unused prepaid balances are non-refundable and may be forfeited after termination to the extent permitted by law. Promotional credits expire as stated when issued.
  • Price changes. We may change prices, including Communication Surcharges that reflect carrier or provider cost changes, with notice. Changes to subscription fees take effect at your next renewal; changes to pass-through costs may take effect sooner.
  • Failed payments. If a payment fails, we may retry it, charge any other payment method on file, and limit or suspend the Services (including messaging and phone numbers) until all amounts are paid. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum allowed by law, and you are responsible for reasonable collection costs, including attorneys’ fees.
  • Billing disputes. You must raise any billing dispute in writing within thirty (30) days of the charge, or you waive it. Undisputed amounts must be paid on time. Initiating a chargeback without first contacting us is a breach of these Terms; you are responsible for chargeback fees and we may suspend your account.
  • No refunds. Except where required by law or expressly stated in your Order, all fees are non-refundable, including for partial periods, downgrades, unused features, unused usage, and Professional Services already performed.
  • Taxes. Fees exclude taxes. You are responsible for all sales, use, communications, and similar taxes and government assessments (other than taxes on our income), and you will indemnify us for any tax claims arising from your purchases. Any tax calculations we provide are informational only and are not tax advice.
  • Trials and promotions. Trials and promotional pricing are offered at our discretion, may be limited to one per business, and convert to paid plans as stated in the offer. We may refuse or end trials, including repeated or back-to-back trials.

7. Cancellation

You may cancel at any time through your account or by written notice to [email protected]. Cancellation takes effect at the end of the current billing period unless your Order states otherwise, and you remain responsible for all fees through that date and for any minimum term or commitment in your Order. Cancellation does not entitle you to a refund. You must export your Customer Data before the effective date (see Section 12).

8. Your compliance responsibilities

You are solely responsible for complying with all laws, regulations, and industry and carrier requirements that apply to your business, your Customer Data, and your use of the Services, including, where applicable:

  • Privacy and data-protection laws (such as the GDPR and UK GDPR, the CCPA and other U.S. state privacy laws, and Canada’s PIPEDA and CASL);
  • Telemarketing and messaging laws (such as the TCPA, the Telemarketing Sales Rule, CAN-SPAM, the Florida Telephone Solicitation Act and other state “mini-TCPA” laws, and do-not-call rules);
  • Call-recording and wiretap laws, including all-party-consent laws such as Florida’s;
  • Consumer-protection, advertising, home-improvement, contractor-licensing, lending, financing, and warranty laws;
  • Health-information laws (including HIPAA), payment-card rules (PCI DSS), tax laws, and accessibility laws.

You are responsible for the accuracy, quality, legality, and content of your Customer Data and for having every right and consent needed to collect, use, and process it. The Services’ compliance tools are aids only; using them does not make you compliant, and we do not provide legal advice.

9. Communication Services and telecommunications compliance

  • You are the sender. For every message, call, voicemail, or email sent through your account (including by automations and AI agents), you are the sender, caller, telemarketer, and seller, and you are exclusively responsible for compliance with all applicable laws and carrier rules.
  • Consent. You represent and warrant that, before sending any communication, you have obtained all consents required by law (including prior express written consent where required), that consent was collected directly by you for your business, and that you maintain records of it for at least the period required by law and will provide them to us on request.
  • Opt-outs. You will honor opt-out and do-not-call requests promptly and as required by law, maintain an internal do-not-call list, and scrub against applicable do-not-call registries.
  • Registration. You will complete and maintain accurate A2P/10DLC brand and campaign registration, toll-free verification, and any other required vetting, and send only the message types you registered. You authorize us to submit registration information on your behalf.
  • Carrier action. Carriers and providers may filter, block, delay, or charge for traffic. We are not responsible for undelivered or delayed communications. We may throttle, block, or suspend any Communication Services, phone numbers, or campaigns that we believe violate law, carrier rules, or the Acceptable Use Policy, or that a carrier or provider directs us to stop, without liability.
  • Fines. You are responsible for, and will reimburse us for, any carrier fines, penalties, or fees caused by your communications.
  • Phone numbers. Phone numbers provided through the Services are licensed to you for use during your subscription; you do not own them. After cancellation or termination, numbers may be released or reassigned after fourteen (14) days unless you have successfully ported them out. Porting is subject to carrier procedures, and we do not guarantee it.
  • Emergency services. The Services do not support calls to 911 or other emergency services and must not be relied on for them.
  • These obligations survive termination.

10. Customer Data

  • Ownership. As between you and us, you own your Customer Data.
  • License to us. You grant ZRSpro and its subprocessors a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data as needed to provide, secure, support, and improve the Services, to perform Professional Services you request, and to comply with law.
  • Your warranties. You represent and warrant that you have all rights, licenses, and consents needed to provide Customer Data to us and for us to process it as described, and that doing so does not violate any law or third-party right.
  • Privacy notice. You must maintain and comply with your own privacy policy that accurately discloses your collection and use of End Client information, including through the Services.
  • Data-subject requests. You are responsible for receiving, verifying, and responding to all access, correction, deletion, opt-out, and other privacy requests from your End Clients, and you will indemnify us for any failure to do so. We will assist as described in the Data Processing Addendum.
  • Security incidents involving your data. You are responsible for investigating incidents arising from your account, users, devices, or integrations, and for any legally required notifications to End Clients, regulators, or others, and the related costs, except to the extent an incident results from our breach of our own security obligations.
  • Retention. You are responsible for setting retention and deletion practices for your Customer Data that meet your legal obligations. Our retention practices do not relieve you of yours.
  • Restricted data. You must not upload protected health information without a signed Business Associate Agreement, full payment card numbers or security codes outside our payment tools, government ID numbers, or other highly sensitive data unless the Services expressly support it and the law permits it.
  • Data Processing Addendum. Our processing of personal data in Customer Data is governed by the Data Processing Addendum on the Privacy & Security page, which is incorporated into these Terms.

11. Usage data

We may collect and use technical, usage, performance, and analytics data about how the Services are accessed and used, and may create aggregated or de-identified data from Customer Data that does not identify you or any individual (“Usage Data”). We own Usage Data and may use it for any lawful purpose, including to operate, secure, and improve the Services and to develop new offerings, consistent with the Privacy Policy.

12. Data backup, export, and loss

The Services are not a backup or archival service. You are solely responsible for maintaining your own independent copies and backups of your Customer Data and for exporting any data you wish to keep before cancellation, termination, suspension, or expiration. While we and our providers take reasonable measures to protect data, we do not guarantee against loss, corruption, deletion, or unavailability of data, and we are not responsible for any loss of, damage to, or inability to access Customer Data, however caused, including through system failures, provider or carrier outages, errors, deletions by you or your Authorized Users, integrations, automations, or security incidents. You assume all risk of data loss to the fullest extent permitted by law. After termination, we may delete your Customer Data as described in Section 31, with no obligation to retain or return it.

13. Acceptable use

Your use of the Services must comply with the Acceptable Use Policy, which includes prohibited content and conduct, messaging and calling rules, AI rules, and product-specific rules. Without limiting it, you may not: use the Services unlawfully; send unsolicited or non-consented communications; upload malware; access systems or accounts without authorization; probe or test the security of the Services without written permission; reverse engineer, copy, or build competing products from the Services; scrape or extract data by automated means except through our APIs; resell or sublicense the Services except as permitted in writing; or circumvent limits, billing, or safeguards.

14. Artificial intelligence features

  • The Services include AI features such as AI chat and voice agents, content generation, summaries, and automations. AI features are subject to the AI rules in the Acceptable Use Policy.
  • AI output is generated automatically, may be inaccurate, incomplete, or inappropriate, and is provided “as is” without any warranty. It is not professional advice.
  • You are responsible for reviewing AI output and for everything AI features say, send, schedule, or do in your account, as if you had done it yourself, including any prices, commitments, or statements made to End Clients.
  • You must disclose the use of AI chatbots and AI voice agents where required by law and must not represent AI as a human where that would deceive.
  • You must ensure AI use is lawful where you and your End Clients are located.
  • We do not use your Customer Data to train generalized, publicly available AI models. AI providers we use are limited to processing data to provide the requested feature.
  • You will indemnify us for all claims arising from your use of AI features or AI output, including infringement, defamation, misinformation, discrimination, privacy, and telemarketing claims.

15. Product-specific terms

15.1 SAVIcrm

SAVIcrm is provided on the plan you select, with the features, limits, and add-ons described in your Order. Automations, workflows, and campaigns you build or enable run on your instructions; you are responsible for their configuration, timing, recipients, content, and results.

15.2 SAVIcam

SAVIcam lets you capture, store, and share jobsite photos, video, and documents. You are responsible for having the right to capture and use all media, for obtaining any required consent from property owners and individuals, and for any location or time metadata you share. Media is Customer Data and subject to Section 12 (data loss).

15.3 SAVIdata

SAVIdata provides data and enrichment services sourced in part from third parties. Data is provided “as is,” may be incomplete, outdated, or inaccurate, and must be independently verified. SAVIdata is not a consumer report and must not be used for any purpose covered by the Fair Credit Reporting Act or similar laws. Data does not constitute consent to contact anyone; you must independently meet all consent and do-not-call requirements. Use of data is subject to the restrictions of its sources and the Acceptable Use Policy, and you may not resell or redistribute it.

15.4 Templates

Templates are licensed, not sold, for use only within the Services during your subscription. We do not warrant that Templates (including scripts, message copy, and workflows) are legally compliant for your business or jurisdiction; you must review and adapt them before use.

15.5 Domains

If we register or manage a domain for you, we may act as registrant or agent on your behalf. You are responsible for renewal settings, registrar terms, and the lawful use of the domain, and you will indemnify us for claims relating to it. Domain fees are non-refundable.

15.6 Ecommerce, payments, and invoices

When you sell products or services or collect payments through the Services, you are the merchant and seller of record. You are solely responsible for your products and services, pricing, disclosures, refunds, chargebacks, warranties, taxes, licensing, and compliance with consumer-protection and payment-network rules. Payment processing is provided by third-party processors under their own terms. We are not a payment processor, money transmitter, or party to your transactions.

15.7 Integrations and APIs

APIs and integrations are provided “as is,” may be rate-limited, changed, or discontinued, and are used at your own risk. We may suspend API access that we believe is abusive, insecure, or excessive.

16. Professional Services (admin support, onboarding, migration, coaching)

  • Scope. Professional Services are limited to the scope described in your Order. Anything outside that scope is a separate engagement and may carry additional fees.
  • Access authorization. You authorize ZRSpro personnel performing Professional Services to access your account and Customer Data, and to act within your account on your behalf, as reasonably necessary to perform them. You remain responsible for reviewing and approving work done in your account, including messages, automations, and settings.
  • Your cooperation. You will provide timely access, information, approvals, and credentials. Delays caused by you may extend timelines and incur fees.
  • Data migration. When we migrate data at your request, you authorize us to access the source systems and represent you have the right to do so. We do not guarantee that migrations will be complete, error-free, or on schedule, or that formatting, history, or integrations will be preserved. You must verify migrated data and keep your own copy of the source data.
  • Coaching and consulting. Coaching, consulting, training, and business guidance are educational and advisory only. We do not guarantee any particular results, revenue, leads, growth, or profitability. You are solely responsible for your business decisions and their outcomes. Coaching is not legal, tax, accounting, financial, or other professional advice.
  • No employment relationship. ZRSpro personnel are not your employees, and you are responsible for supervising your own business operations.

17. Client network and referrals

ZRSpro may, at its discretion, introduce businesses that use our services to one another for referrals and supporting-trade work (the “Network”). Participation is voluntary.

  • Any work, referral, or arrangement between Network members is solely between those members. ZRSpro is not a party to it, is not a contractor or subcontractor on any job, and does not supervise, guarantee, warrant, or insure any member’s work, licensing, insurance, pricing, payments, or conduct.
  • Introductions are not endorsements. You are responsible for vetting any member you work with, including licensing and insurance, and for your own contracts with them and with customers.
  • You are responsible for compliance with any laws on referral fees, lead sharing, and contractor licensing in your trade and state, and for disclosing referral relationships where required.
  • You may share an End Client’s information with another member only with that End Client’s permission and as the law allows.
  • We may change, suspend, or end the Network, or remove any member, at any time. You release ZRSpro from all claims arising out of dealings between Network members.

18. Third-Party Services

The Services rely on, and may integrate with, Third-Party Services, including underlying platform and infrastructure technology, carriers, payment processors, AI providers, data providers, and integrations you enable. Your use of Third-Party Services is subject to their terms, at your own risk, and you are responsible for configuring and securing them. We do not control and are not responsible for Third-Party Services, including their availability, security, accuracy, outages, changes, or acts or omissions, and you waive claims against us arising from them. We may disable integrations at any time.

19. User contributions and third-party content

You are responsible for all content you or your Authorized Users post, upload, or send. You grant us a non-exclusive, worldwide, royalty-free license to use that content as needed to provide the Services, and represent that it is lawful and does not infringe anyone’s rights. We may remove or disable content that we believe violates these Terms, the Acceptable Use Policy, or law. Third-party content available through the Services is used at your own risk.

20. Feedback

If you provide suggestions, ideas, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid license to use, modify, and commercialize it for any purpose without restriction, attribution, or compensation, and you waive any claims relating to our use of it.

21. Beta and new features

Features identified as beta, preview, early-access, pilot, or evaluation are provided “as is,” without warranty or support commitment, may be changed or discontinued at any time, may be less reliable, and are used at your own risk. Our liability for them is limited to the fullest extent permitted by law.

22. Fair use and limits

We may set and enforce reasonable limits on storage, contacts, users, API calls, messages, AI usage, and other resources, and may throttle, limit, or suspend accounts or features whose usage is excessive, abusive, or creates risk for the Services or other users, or charge for excess use as stated in your Order.

23. Intellectual property and license

  • The Services, including all software, designs, workflows, Templates, documentation, text, graphics, and the SAVI, SAVIcrm, SAVIcam, SAVIdata, and ZRSpro names and logos, and all related intellectual property, are owned by ZRSpro LLC or its licensors. No rights are granted except as expressly stated.
  • Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during your subscription for your internal business purposes.
  • You may not use our names, logos, or trademarks without our prior written permission.
  • You retain ownership of your Customer Data and your own trademarks and brand assets, and you grant us a limited right to display them within the Services and, unless you opt out in writing, to identify you as a customer.

24. Copyright and DMCA

We respect intellectual property rights and respond to notices under the Digital Millennium Copyright Act. To report alleged infringement, send to [email protected] (subject: “DMCA”) a notice that includes: your physical or electronic signature; identification of the copyrighted work; identification of the allegedly infringing material and its location; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that the notice is accurate and you are authorized to act. We may remove material and will terminate repeat infringers in appropriate circumstances. Counter-notices may be submitted as provided by law.

25. Confidentiality

Each party may receive non-public information from the other. The receiving party will use it only to perform under these Terms and protect it with reasonable care, except for information that is public, already known, independently developed, or rightfully received from others, or that must be disclosed by law. Our pricing, Templates, non-public features, and security information are our confidential information.

26. No professional advice; no guarantee of results

The Services, Templates, AI output, coaching, and any content we provide are for general business use and do not constitute legal, tax, accounting, financial, compliance, or other professional advice. We make no promise or guarantee of any particular results, revenue, leads, conversions, or profitability. Any examples, projections, or success stories are illustrative only. You are responsible for obtaining professional advice where appropriate.

27. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, PROFESSIONAL SERVICES, TEMPLATES, DATA, AI OUTPUT, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT COMMUNICATIONS WILL BE DELIVERED; THAT DATA WILL BE ACCURATE OR WILL NOT BE LOST; OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY RESULT. YOU BEAR ALL RISK OF DATA LOSS AND OF TRANSMITTING INFORMATION OVER THE INTERNET AND TELECOMMUNICATIONS NETWORKS.

28. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) ZRSPRO LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SUPPLIERS (THE “ZRSPRO PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, OR COSTS OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) THE ZRSPRO PARTIES’ TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, UNDER ANY THEORY, WILL NOT EXCEED THE GREATER OF THE SUBSCRIPTION FEES YOU ACTUALLY PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). COMMUNICATION SURCHARGES AND PASS-THROUGH FEES ARE EXCLUDED FROM THIS CALCULATION. THESE LIMITS ARE AN ESSENTIAL BASIS OF THE BARGAIN AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

29. Indemnification

You will defend, indemnify, and hold harmless the ZRSpro Parties from and against all claims, demands, suits, investigations, fines, penalties, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ and experts’ fees) arising out of or relating to: (a) your Customer Data; (b) your or your Authorized Users’ use of the Services; (c) your communications, messaging, calling, recording, and telemarketing activity, including TCPA, do-not-call, CAN-SPAM, and carrier claims; (d) your privacy practices, consents, data-subject requests, and security incidents arising from your account; (e) your products, services, sales, payments, refunds, taxes, and disputes with your End Clients or Network members; (f) your use of AI features or AI output; (g) any PHI or other restricted data you upload; (h) account-ownership disputes; (i) Third-Party Services you connect; and (j) your breach of these Terms, the incorporated policies, or applicable law. We may control the defense of any claim at your expense, and you may not settle a claim that imposes obligations on us without our written consent.

30. Time limit to bring claims

Any claim or cause of action arising out of or relating to the Services or these Terms must be brought within one (1) year after it arises, or it is permanently barred, to the fullest extent permitted by law.

31. Suspension and termination

  • We may suspend or terminate your account, any feature, or any Communication Service, in whole or in part, at any time and for any reason, including breach, non-payment, legal or carrier risk, suspected fraud or abuse, security threats, or inactivity. Where practical and lawful we will give notice, but we may act immediately and without notice when we believe it is necessary.
  • Accounts with no login activity for ninety (90) days or more, or with unpaid balances, may be suspended or deleted.
  • On termination, your right to access the Services ends immediately; all unpaid fees become due; and phone numbers may be released as described in Section 9. We may retain Customer Data for up to ninety (90) days after termination, after which we may permanently delete it without liability. We have no obligation to provide data exports after termination.
  • If you obtained access through a third party (such as an agency or consultant), you must contact that party about cancellation or data.

32. Injunctive relief

Your breach of these Terms, including the Acceptable Use Policy or our intellectual property rights, may cause us irreparable harm for which money damages are inadequate. We may seek injunctive or other equitable relief in any court of competent jurisdiction without posting a bond, in addition to any other remedy.

33. Governing law, arbitration, and class-action waiver

Governing law. These Terms and any dispute relating to them or the Services are governed by the laws of the State of Florida and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict-of-laws rules.

Informal resolution. Before starting arbitration, a party must send the other a written notice describing the dispute and the relief sought, and the parties will try in good faith to resolve it for at least thirty (30) days.

BINDING ARBITRATION. ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, INCLUDING THEIR FORMATION, SCOPE, OR ENFORCEABILITY, WILL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES, BEFORE A SINGLE ARBITRATOR, SEATED IN ORANGE COUNTY, FLORIDA. JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. EITHER PARTY MAY INSTEAD BRING AN INDIVIDUAL CLAIM IN SMALL-CLAIMS COURT, AND WE MAY SEEK INJUNCTIVE RELIEF AND COLLECT UNPAID FEES IN COURT.

CLASS-ACTION AND JURY-TRIAL WAIVER. YOU AND ZRSPRO EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR AWARD CLASS-WIDE RELIEF.

Venue. For any matter not subject to arbitration, the exclusive venue is the state and federal courts located in Orange County, Florida, and each party consents to their jurisdiction. If the class-action waiver is found unenforceable as to any claim, that claim will proceed in court, not arbitration, and the rest of this Section remains in effect.

34. Notices and legal process

  • We may give you notices by email to your account address, through the Services, or by posting on our website. Notices are effective when sent or posted.
  • You must send legal notices to ZRSpro LLC, 763 S Kirkman Road, Orlando, FL 32811, with a copy to [email protected]. Service of legal process must be made on our registered agent as required by law; email, chat, support tickets, and social media are not valid methods of service.
  • Subpoenas, warrants, and other requests for data must identify the requesting party, legal authority, account involved, information sought, date range, and deadline. We may reject, challenge, or narrow requests we believe are unlawful, overbroad, or improperly served, and may notify the affected Subscriber where permitted. You will reimburse our reasonable costs of responding to legal process relating to your account.

35. Export controls and sanctions

You represent that you and your Authorized Users are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions, and are not on any U.S. government restricted-party list. You will not access, use, or export the Services in violation of U.S. or other applicable export-control or sanctions laws.

36. Changes to these Terms

We may modify these Terms or any incorporated policy at any time by posting the updated version with a new “Last updated” date and, for material changes, providing notice by email or in the Services where appropriate. Changes take effect when posted unless stated otherwise. Your continued use of the Services after changes take effect means you accept them. If you do not agree, you must stop using the Services and cancel.

37. General

  • Entire agreement. These Terms, the incorporated policies, and any Order are the entire agreement between you and us regarding the Services and supersede all prior agreements and communications. If an Order conflicts with these Terms, the Order controls only for that Order. Terms in your purchase orders or other documents do not apply.
